Terms of Service

These terms explain how you may use TrustProve.co, including commitments, public profiles, score badges, APIs, billing, and browser extension features.

0. Definitions

“Commitment” means a record created in TrustProve that may include parties, title, description, deadline, domain, weight, signatures, evidence, and outcome states (for example, pending, active, fulfilled, failed, disputed, or canceled).

“Content” means data you submit or make available through the Services, including profile data, commitments, evidence, dispute submissions, comments, API requests, and integration metadata.

“TrustProve Signal” means any score, score band, badge, verification marker, or related output generated by our systems based on recorded events, configurations, and scoring rules.

1. Acceptance of Terms

These Terms govern your use of TrustProve.co, including our website, web application, public profile pages, score badges, APIs, browser extension, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Eligibility and Accounts

You must provide accurate registration information and keep it updated. You are responsible for your account credentials and for activities that occur under your account.

You must promptly notify us if you believe your account, signing keys, API keys, or browser extension session has been compromised.

2.1 Account Security and Key Management

You are responsible for safeguarding your passwords, session tokens, API keys, signing keys, browser extension sessions, and any devices used to access the Services.

If you rotate or replace signing keys, you are responsible for maintaining access to the correct keys needed for workflows that depend on cryptographic signatures. TrustProve is not responsible for loss of access caused by your key mismanagement.

3. TrustProve Commitments and Signatures

TrustProve is designed to record commitments between parties, including deadlines, status transitions, evidence, disputes, and cryptographic signatures where supported.

You are responsible for the commitments you create, the evidence you upload, and the statements you submit. You may not create fraudulent commitments, impersonate counterparties, or submit fabricated evidence.

A TrustProve, badge, or verification status is an informational signal based on platform rules and recorded events. It is not a guarantee of performance, identity, creditworthiness, legality, or fitness for any purpose.

3.1 No Professional, Legal, or Credit Advice

TrustProve Signals are product outputs and informational indicators only. They are not legal advice, financial advice, credit reports, background checks, employment recommendations, or regulated underwriting decisions unless expressly stated otherwise in a separate written agreement.

You are solely responsible for how you interpret and use TrustProve data in your own decision-making.

4. Acceptable Use

You may not use the Services to violate law, infringe rights, harass others, distribute malware, evade plan limits, manipulate scores, scrape protected data without authorization, or interfere with platform security or availability.

You may not misuse disputes, automated workflows, or extension features to game reliability scores or produce misleading public trust signals.

You may not reverse engineer or attempt to bypass technical protections, access controls, rate limits, or service restrictions except to the extent such restriction is prohibited by applicable law.

4.1 Enforcement and Investigation

We may investigate suspected violations of these Terms and may take actions including warning, rate limiting, content removal, key revocation, feature restriction, suspension, or termination.

We may preserve records related to abuse, security incidents, or disputes as reasonably necessary to investigate, enforce our Terms, protect users, or comply with legal obligations.

5.1 Intellectual Property and Feedback

TrustProve and its licensors retain all rights in the Services, including software, interfaces, branding, documentation, and generated service materials (excluding your Content).

If you provide suggestions, feature requests, bug reports, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation.

6. Content, Evidence, and Public Profiles

You retain ownership of content and evidence you submit. You grant TrustProve a worldwide, non-exclusive license to host, process, display, and transmit that content as necessary to operate the Services, including public profiles, badges, verification pages, and dispute workflows based on your privacy settings.

You are solely responsible for ensuring you have the right to upload and share any files, screenshots, documents, or third-party data included in commitments or disputes.

We may remove or restrict access to content that we reasonably believe violates these Terms, applicable law, or the rights of others, or that presents a security, fraud, or platform integrity risk.

7. Plans, Billing, and Renewals

Paid features may include commitment limits, verification tiers, API access, team functionality, certificates, and other capabilities. Plan limits and feature availability may vary by tier.

Subscriptions are billed through our payment processor (such as Stripe) on a recurring basis until canceled. You authorize recurring charges for your selected plan and billing period. Fees are generally non-refundable except where required by law or stated otherwise.

We may suspend paid features for failed payments, chargebacks, suspected fraud, or abuse of plan entitlements.

You are responsible for applicable taxes, duties, and similar governmental assessments except taxes based on TrustProve’s net income.

8. Cancellation, Downgrade, and Feature Changes

You may cancel a paid subscription at any time. Unless otherwise stated, cancellation will take effect at the end of the current billing period, and paid features may remain available until that period ends.

Downgrading or cancellation may reduce access to features, limits, certificates, API quotas, or historical exports associated with a higher plan. Some records may remain viewable in limited form for compliance, billing, or audit purposes.

We may change plans, pricing, or feature allocations with notice as required by law, and may migrate plan packaging over time.

9. APIs, Browser Extension, and Integrations

If you use our API, browser extension, or third-party integrations, you must comply with these Terms and any published technical limits, rate limits, or integration requirements.

You are responsible for securing your API keys and extension sessions. We may revoke keys or limit access to protect users, platforms, or service integrity.

You are responsible for complying with the terms and policies of third-party platforms you use with TrustProve integrations or the browser extension (for example, professional networks, marketplaces, or code hosting platforms).

9.1 Availability, Platform Dependencies, and Experimental Features

Certain features depend on third-party platforms, APIs, or browser behavior that may change without notice. We may modify, limit, or discontinue affected features if platform access changes or creates legal, technical, or security risk.

Some features may be labeled beta, preview, or experimental and may be incomplete, changed, or removed at any time.

10. Suspension and Termination

We may suspend or terminate access to the Services, or remove content, where we reasonably believe there is abuse, fraud, legal risk, security risk, or violation of these Terms.

You may stop using the Services at any time. Some records, logs, and transaction data may be retained as described in our Privacy Policy and as required for security, billing, audit, or legal compliance.

10.1 No Employment, Agency, or Partnership

TrustProve provides software and infrastructure only. Use of the Services does not create an employment relationship, agency, joint venture, partnership, fiduciary duty, or guarantee between TrustProve and any user or between users.

11. Third-Party Services and Links

The Services may include links to third-party websites, integrations, payment processors, or platform content. TrustProve does not control and is not responsible for third-party services, content, privacy practices, or availability.

Use of third-party services is governed by the third party’s terms and policies.

11.1 Copyright and IP Complaints

If you believe content on the Services infringes your copyright or other intellectual property rights, contact us with sufficient detail to identify the material, your claimed rights, and the basis for your request so we can review and respond appropriately.

We may remove or disable access to allegedly infringing content while we investigate or as otherwise required by law.

11.2 Export Controls and Sanctions

You represent that you are not located in, organized in, or ordinarily resident in a country or region subject to comprehensive sanctions that prohibit your use of the Services, and that you are not a prohibited or restricted party under applicable export control or sanctions laws.

You may not use the Services in violation of export controls, sanctions, or trade restrictions.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, TrustProve disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that any score, badge, dispute outcome, verification workflow, or integration result will be accurate, complete, or suitable for your specific decision-making use case.

13. Limitation of Liability

To the fullest extent permitted by law, TrustProve and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from or related to the Services.

Our aggregate liability for claims arising out of or relating to the Services will not exceed the greater of (a) amounts you paid to us in the 12 months before the claim, or (b) USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless TrustProve and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising out of your content, your commitments, your use of the Services, or your violation of these Terms or applicable law.

15. Changes to the Services or Terms

We may modify the Services, plan limits, pricing, or these Terms from time to time. If we make material changes, we will post updated Terms and update the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

15.1 Electronic Communications and Notices

You agree that we may provide notices electronically, including through the Services, email, or account notifications. You are responsible for keeping your contact information current.

Operational, legal, and billing notices sent to the email associated with your account will be deemed received in accordance with applicable law, even if you no longer monitor that address.

16. Governing Law and Disputes

These Terms are governed by the laws applicable to the entity operating TrustProve, without regard to conflict-of-law rules. Venue for disputes will be in a competent court in the applicable jurisdiction unless otherwise required by law.

Nothing in these Terms limits rights that cannot be waived under applicable consumer protection law.

16.1 Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

You may not assign or transfer these Terms or your account rights without our prior written consent, except where prohibited by law. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

These Terms, together with any policies or additional terms incorporated by reference, form the entire agreement between you and TrustProve regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.

Sections that by their nature should survive termination (including payment obligations, IP, disclaimers, liability limitations, indemnification, and dispute provisions) will survive termination.
